Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the eSync platform or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Nakson (“we”, “us”, or “our”).

If you do not agree to these Terms, do not use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

eSync is an ERP platform that provides real-time data synchronization between ecommerce stores and third-party systems including ERP platforms, fulfillment providers, inventory management tools, accounting software, courier integrations, and marketplaces.

The Service includes, but is not limited to:

  • Real-time order synchronization via webhooks
  • Inventory and stock level synchronization
  • Product catalog synchronization
  • Customer data synchronization
  • Fulfillment status updates and courier tracking
  • Webhook activity logging and monitoring
  • Analytics and operational dashboards

3. Account & Eligibility

To use eSync, you must:

  • Be the owner or an authorized administrator of a valid ecommerce store
  • Be at least 18 years of age
  • Have a valid eSync account created through our registration flow
  • Comply with the terms of any connected third-party platforms

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Transmit, store, or process any data you do not have the right to handle
  • Attempt to gain unauthorized access to our systems or networks
  • Reverse engineer, decompile, or extract source code from the Service
  • Use the Service in any way that damages, disables, or impairs it
  • Resell, sublicense, or commercially exploit the Service without our written consent
  • Violate the intellectual property rights of any third party

5. Subscription & Payment

eSync offers a free Starter plan and paid plans (Growth, Enterprise). Paid subscriptions are billed on a monthly basis.

  • All fees are in US Dollars unless otherwise stated
  • Subscription fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account
  • Taxes and duties are your responsibility unless we are required to collect them

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

You retain ownership of all data you input into or sync through the Service. You grant us a limited license to process your data solely to provide the Service to you.

7. Service Availability & SLA

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by:

  • Third-party platform outages or API changes
  • Third-party integration system failures
  • Events outside our reasonable control (force majeure)
  • Your misconfiguration of the Service

8. Intellectual Property

The Service, including all software, design, text, graphics, and trademarks, is the exclusive property of Nakson and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, or trademarks without our prior written consent.

9. Limitation of Liability

To the fullest extent permitted by law, Nakson shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) US$100.

10. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your eSync account. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will remain in effect.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Governing Law & Disputes

These Terms shall be governed by the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date and, where appropriate, notifying you by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.
